Charles R. Berry represents corporations, limited liability companies, partnerships, other business entities and individuals in a wide spectrum of transactions, focusing primarily on capital formation, business management and real estate. He has extensive experience in securities regulation, public offerings, business mergers, acquisitions and sales, private placements and compliance with the periodic reporting requirements of the Securities Exchange Act of 1934. Mr. Berry prepared the first "plain English" initial public offering of securities registered with the Securities and Exchange Commission. In addition to debt and equity financings, he has participated in many Financial Industry Regulatory Authority (FINRA, formerly NASD) arbitrations, representing claimants and respondents, as well as serving as an arbitrator and conducting arbitrator training.
Mr. Berry currently serves on the Executive Council of the Business Law Section, and is a past chair of the Securities Regulation Section of the Arizona State Bar Association.
A founder of the former Scottsdale law firm of Titus, Brueckner & Berry, P.C., Mr. Berry was also a shareholder and director of Fennemore Craig, P.C. in Phoenix, serving as chairman of that firm's securities practice group. He has participated in many continuing legal education seminars and panels for organizations such as the State Bar of Arizona and the National Association of Securities Dealers, including "Raising Capital in Arizona," "Securities Arbitrations," "Going Public in Arizona," "Private Offerings of Securities Under State Regulation D," and "Business Jeopardy."
Mr. Berry has served on the board of directors of public and private corporations. He currently serves as President of the Board of Trustees of the Paradise Valley Rotary Foundation. He has also served as an advisor or director of many other charitable and civic organizations, including the Arizona Youth Soccer Association, North Scottsdale Little League and the Volunteer Friends of Channel 8. Mr. Berry was a founder of the Phoenix Ballet Company (now Ballet Arizona) and the Santos Soccer Club.
