Fred Miller specializes his practice in areas of tax credit, commercial finance, and real estate law.

Tax Credit Transactions:  Clients value Mr. Miller's experience in all aspects of transactions involving federal, state and local tax credits and incentives, including New Markets Tax Credits, historic rehabilitation tax credits and low-income housing tax credits.  Mr. Miller advises clients in all aspects of the transaction, including structuring and negotiation of business and legal issues throughout the transaction.

Financing Transactions:  Mr. Miller has represented numerous lenders and borrowers in a variety of financing transactions, including, without limitation, leverage loans for New Markets Tax Credit transactions, bridge loans for tax increment financing transactions, loans for state low-income housing tax credit transactions, traditional real estate construction loans and asset based revolving credit facilities.

Real Estate Transactions:  Mr. Miller represents clients during acquisition, development, leasing and sale of commercial, residential and undeveloped property, including assisting clients with "like-kind" exchanges, forming real estate limited liability companies and preparing Tenants in Common Agreements.

  • Representation of national lender in providing construction and working capital line financing in connection with the development of biodiesel plant

  • Representation of international company based in St. Louis in connection with its negotiation of a $100+ million syndicated revolving credit facility
  • Representation of a tax credit investor in connection with a twinned New Markets Tax Credit and federal historic rehabilitation tax credit transaction involving the restoration of a hotel building in downtown Milwaukee, Wisconsin
