Jack M. Epps provides general corporate and business counsel to a variety of businesses large and small across the globe. His counsel and work touches all aspects of the businesses he represents, including (1) planning for the structure and formation of new business ventures and related entities, including corporations, partnerships and limited liability companies and (2) negotiating, documenting and closing various joint ventures, mergers, consolidations, acquisitions and sales of the stock and assets of his clients. He also is involved in negotiating and documenting shareholder agreements, employment and consulting agreements, non-compete and non-solicitation agreements, stock option plans and agreements, manufacturing, distributor and licensing agreements, and generally, negotiating, documenting and closing the various other business transactions in which his business clients are involved.
Mr. Epps also has substantial experience in representing businesses and individuals involved in real estate investment and development. He has represented businesses in all aspects from fundraising to construction that are involved in build-to-suit and sale-leaseback transactions, as well as real estate acquisitions and sales, leasing, financing and other development related activities. He has represented clients in the acquisition financing, refinancing and sale and leasing of hotels, shopping centers, office complexes and undeveloped land. Mr. Epps also represents land owners and developers in connection with various development related issues arising out of their commercial and residential development projects.
