Jeffrey E. Fine

Jeffrey E. Fine’s blend of intellectual property and corporate finance and transactional experience is particularly valuable in light of the proliferation of transactions involving intellectual property assets and venture capital, securities, structured finance, conventional loans and other capital sources.

 

Counseling and representing hundreds of clients, Mr. Fine works to protect and preserve their business identity, which includes trademarks, service marks, trade dress, trade secrets, copyrights and digital assets and helps clients bring their ideas, inventions and developments from the drawing board, laboratory or design stage to the marketplace.  He has extensive experience in negotiating and documenting distribution agreements, licenses, strategic alliances, as well as computer technology transfers and issues arising out of electronic commerce.

 

Mr. Fine’s corporate finance and mergers and acquisitions experience is extensive. As bond counsel for the City of St. Louis, Mr. Fine worked on the public sale of tax-exempt bonds to finance the new Kiel Center Sports Arena.  As counsel in various capacities, Mr. Fine has handled over $500 million in tax-exempt securities offerings.

Experience

  • Filed, prosecuted and processed trademark and service mark applications for a broad range of clients.  These clients include national manufacturing and service entities; insurance companies; health care providers; internet publishers; economic development agencies; and other business interests.
  • Represention of a diverse client base in all aspects of product distribution, marketing, promotion and advertising, including antitrust compliance
  • Negotiated, documented and structured transfers of computer technology rights, licenses, development agreements, source code escrows and support agreements.  These transactions are on behalf of software vendors, value added resellers, systems integrators and end users. End user clients include managed care organizations, hospitals, physician groups, as well as manufacturers and service providers
  • Structured, negotiated and documented domestic and international license agreements, royalty agreements, joint venture agreements, clinical trial agreements and other contracts involving the commercial exploitation of research and development, scientific discoveries, know-how, technology and other proprietary rights
  • Prosecuted and defended oppositions, cancellations, infringement claims and controversies involving trademarks, service marks, trade dress, business identity and internet domain names
  • Representation of authors and artists involving, among other things, negotiation of publishing, production, and recording contracts.  On behalf of one of the nation’s largest commercial printers, negotiated and documented long-term printing contracts with publishers of news, sports and financial weeklies and other national print magazines
  • Processed copyright applications for a diverse array of creative parties, and prosecuted and defended disputes regarding infringement, ownership and licensing of creative works
  • Assisted a number of clients in connection with year 2000 preparation and compliance issues
