Kelly Sullivan-Deady is vice chairman of the firm's Corporate Finance and Securities group. She engages in a variety of corporate representations including securities transactions, mergers and acquisitions and general corporate matters with a focus on public securities regulation. She has extensive experience advising clients on a variety of securities law matters including reporting requirements, public and private offerings, proxy solicitations and corporate governance matters. Ms. Sullivan-Deady has assisted public companies in the financial services sector among other industries with periodic reporting requirements, executive compensation structure and disclosures, internal controls as they relate to SOX 404 compliance, and proxy and consent solicitations. She also has experience representing broker-dealers and registered investment advisors with securities law compliance matters, representing acquirers and target companies in merger and acquisition transactions and counseling clients on various complex contractual arrangements including technology licensing and distribution agreements.
