Luke A. Hagedorn

Associate
Luke A. Hagedorn concentrates his practice in the areas of energy law and government contracting. On the energy side of his practice, Mr. Hagedorn assists public utilities, energy industry organizations, and renewable energy developers on a number of complex legal issues related to state and federal regulatory compliance, including certification proceedings, general rate making proceedings, rate and tariff applications and general investigation/rulemaking proceedings. He also helps renewable energy developers navigate a broad range of complex legal issues arising out of the development of renewable resources, including land leasing, state and federal environmental and endangered species requirements, farmland conservation, project finance, tax equity, siting and permitting and purchase power agreements.

Additionally, Mr. Hagedorn assists clients who sell products and services to the U.S. federal government with a broad range of issues related to the Federal Acquisition Regulations (FAR), the agency FAR supplements and other applicable procurement laws and regulations. This includes startup issues such as entity selection and formation, registration in the required government databases, the availability of SBA programs, set-asides and other government resources, bid preparation and review, and post-award contract compliance. Additionally, Mr. Hagedorn helps prime contractors and subcontractors implement ethics and compliance programs that comply with the requirements of FAR Subpart 3.10 and current best practices, as well as performs audits of a client's existing ethics and compliance policies and procedures to ensure they satisfy FAR and current industry best practices.

Prior to joining Polsinelli, Mr. Hagedorn worked on the staff of former Congressman Ike Skelton in both the Washington, D.C. and district offices. He also assisted in the drafting of a financial planning industry ethical code of conduct for A.G. Edwards and the Securities Industry and Financial Markets Association.

Mr. Hagedorn obtained his undergraduate degree summa cum laude from Saint Louis University, with the distinction of being named a Presidential Scholar. He obtained his juris doctorate degree cum laude from the University of Missouri – Kansas City.

Experience

  • Assisted with evaluation of and response to a RFP issued by the Department of Veterans Affairs (“VA”), and provided guidance regarding the various programs, practices and policies necessary to comply with the contract requirements
  • Provided counsel regarding a proposed teaming relationship between a large contractor and a small-business concern for a federal small business set-aside contract
  • Conducted a compliance audit of a multi-million dollar contract with the VA
  • Assisted with the interpretation of close-out provisions in a multi-million dollar contract with the U.S. Corps of Engineers
  • Provided counsel regarding the interpretation of and compliance with the Service Contract Act of 1965 requirements
  • Assisted with the preparation of multiple bids for federal and state government contracts
  • Provided counsel regarding the development of policies and procedures necessary to comply with a Small Business Subcontracting Plan
  • Provided counsel regarding participation in the SBA’s 8(a) Mentor/Protégé Program
  • Assisted with due diligence, drafting and negotiation of stock purchase agreement in connection with an M&A deal in which the client successfully acquired a government contractor, including reviewing the target company’s contracts for compliance issues, compliance with the Anti-Assignment Act and the FAR novation rules, and advising client regarding Organizational Conflicts of Interest, the Mandatory Disclosure Rule, and laws applicable to foreign interests
  • Assisted with the negotiation of a Cooperative Research and Development Agreement, and provided counsel regarding the unique compliance requirements imposed by the same
  • Provided counsel regarding qualification as a Service-Disabled Veteran-Owned Small Business
  • Provided counsel regarding a contractor’s GA Schedule application
  • Provided counsel regarding the disclosure of non-compliance with respect to a government contract with the State of Missouri
  • Assisted with due diligence, drafting and negotiation of stock purchase agreement in connection with an M&A deal in which the client was acquiring a government contractor, including conducting a compliance review of the target company’s government contracts, and advising the client regarding issues related to the Service Contract Act, the Davis Bacon Act, “affiliation” concerns, non-compete agreements, teaming agreements, mentor protégé agreements, facility secret security clearance, qualification as a small business concern, organizational conflicts of interest, novation, past performance evaluations, limitations on subcontracting, drug-free workplace, ethics requirements, bonding, and GSA Schedule Contracts and GWACs
  • Provided counsel regarding start-up issues and registrations required by the federal government, and assisted with qualification as a Service-Disabled Veteran-Owned Small Business
  • Provided counsel regarding teaming agreements and joint venture agreements, assisted with issues related to the negotiation and drafting of subcontracts, and developed and implemented a Code of Business Ethics and Compliance in accordance with FAR Subpart 3.10 and FAR Clause 52.203-13.
