Michael F. Patterson is a shareholder who practices in business and securities transactions, corporate law, mergers and acquisitions, finance and compliance.
Mr. Patterson has substantial experience in commercial transactions and securities law issues, including: securities regulation, public offerings, business mergers, acquisitions and sales, private placements, going-private transactions and compliance with the Securities Act of 1933 and the periodic reporting requirements of the Securities Exchange Act of 1934; general commercial transactions; licensing, franchising issues; and business disputes. He assisted in preparation of the first "plain English" initial public offering of securities registered with the Securities and Exchange Commission. He represents corporations, limited liability companies, partnerships, other business entities and individuals in a wide spectrum of transactions from their formation to dissolution.
Mr. Patterson also has considerable experience and practice related to international business transactions and disputes. He previously lived and worked in Mexico City and Costa Rica for 10 years, both in a non-lawyer capacity and as a U.S. lawyer primarily assisting U.S. companies in managing their legal needs there. He reads, writes and speaks Spanish fluently.
Prior to entering the legal field, Mr. Patterson worked in the financial services industry, was licensed by the Arizona Department of Insurance and was a registered representative with the National Association of Securities Dealers, Inc. (now FINRA). He also had substantial customer service experience in the utilities industry.
Mr. Patterson has been a frequent speaker on business, securities and international issues.
