Nancy Pisaruk's practice focuses on representing clients, from entrepreneurs and start-ups to large private and public companies, in a variety of business transactions and corporate governance matters. Her work for clients begins before formation of an entity and continues through the life cycle of the company. She works closely with start-up clients to structure a business entity, draft appropriate shareholder agreements, and to ensure initial corporate governance matters are taken care of. After formation, she often acts as outside general counsel for clients, working on a wide variety of day-to-day matters that arise including commercial contracts and ongoing corporate governance matters. Ms. Pisaruk often works directly with clients and/or management in reviewing and drafting contracts such as supply and distribution agreements, confidentiality agreements, consulting agreements, and employment and compensation arrangements, among others. Ms. Pisaruk also helps clients connect with other lawyers within the firm when they need assistance in specialized areas such as employment, intellectual property, environmental, or benefits. Additionally, she will often advise clients with respect to significant corporate events that present themselves, such as mergers and acquisitions, venture capital, and private equity financings.
