Aileen Murphy enjoys assisting clients in navigating and responding to the changes occurring in the regulatory health care sector. Her previous experience, including holding numerous positions in the health care field, have strengthened her ability to provide counsel rooted in an understanding of not only the law, but also how legal issues or regulatory changes can impact clients. Aileen’s practice focuses mainly on providing assistance with transactions for hospitals, physician practices, ambulatory surgery centers, and other health care entities in connection with acquisitions, joints ventures, mergers, restructurings, and entity formation.

In addition, Aileen advises health care clients on regulatory and compliance matters, including physician self-referral restrictions, licensure and accreditation, and corporate governance matters. Aileen also assists clients with the drafting and negotiation of a variety of contracts, including physician employment agreements, management and co-management agreements, and affiliation agreements. She has provided substantial assistance to clients with hospital/physician integration initiatives and other integration and alignment strategies for health care providers and entities.

  • Representing a client in the sale of a large hospital and affiliated entities
  • Drafting documents and assisting in the negotiations for a multimillion dollar loan transaction involving a hospital 
  • Negotiating the health care portion of numerous securities offerings for health care clients, including ambulatory surgery centers and medical device manufactures
  • Assisting a large private equity client with numerous acquisitions of health care entities in the behavioral-science sector
  • Assisting various clients with medical franchising matters
  • Drafting and negotiating transactions for hospitals, physician practices, ambulatory surgery centers, and health care suppliers
  • Advising clients regarding Stark Law, the Anti-Kickback Statute, and applicable state regulations
  • Drafting and negotiating all documents for multi-specialty and single-specialty physician groups
  • Represented a client in the sale of a large hospital and affiliated entities.
