Andrew Voss’ background as a licensed physical therapist enables him to provide practical solutions by integrating clinical experience with legal analysis.

He provides guidance in corporate and health care transactional matters for a broad range of providers, including:

Andy understands that caring for patients is big business and gives realistic advice regarding the purchase and sale of hospitals and other health care entities.  He also counsels regarding fraud, abuse, regulatory, and compliance issues. He is knowledgeable in health care policies and best practices, including the privacy and security requirements under the Health Insurance Portability and Accountability Act.

Health Care
  • Negotiated numerous joint ventures between both private and public health care companies
  • Negotiated numerous professional service contracts, affiliation agreements, clinical management agreements, managed care agreements, medical office leases, physician employment agreements, preferred provider agreements, and other miscellaneous health care contracts
  • Represented numerous health care entities on a variety of health care compliance and regulatory issues, including Stark law and the Anti-kickback statute
  • Successfully appealed ZPIC audits for hospice and therapy providers
  • Lead associate in representation of a nonprofit corporation in connection with the purchase of the assets of several tissue banks and the national distribution of tissues recovered from human and cadaveric donors
  • Lead associate in the defense of a public health care company against fraud and abuse claims made by the Office of the Inspector General
  • Performed a legal review and audit of therapy charts for a private company owning a chain of skilled nursing facilities

Mergers and Acquisitions
  • Representation of a public health care company with a $1.3 billion enterprise value in connection with its merger with and into another public health care company
  • Representation of a public health care company in connection with the equity exchange of an independent rehabilitation facility and a long term acute care hospital
  • $75 Million sale of a health care data mining company to a private equity firm
  • Acquisition of a critical access hospital and related rural health clinics
  • Representation of a St. Louis hospital in the acquisition of a competing hospital
  • Several acquisitions by a Berkshire Hathaway company of manufacturing and technology companies
  • Representation of several private cellular tower companies in connection with the $88 million sale of substantially all of their assets to a public communication company
  • Representation of a privately held company in the $43 million acquisition of two private communication companies
  • Assisted in representation of a public manufacturing company in its merger with and into another public manufacturing company ($340 million enterprise value)
  • Assisted in representation of a public manufacturing company in its merger with and into a private equity firm ($448 million enterprise value)

Commercial Contracts/General Corporate
  • Negotiated and drafted sales and supply agreements for a Fortune 100 health care company
  • Negotiated and drafted license agreements, distribution and representation agreements, service agreements, supply agreements, confidentiality agreements, consulting agreements and independent contractor agreements
