Alan Witte has 40 years of experience in conceptualizing, structuring, documenting and closing a wide range of sophisticated corporate and finance transactions. He has in-depth experience on both sides of the transactional table, working as a trusted outside legal counselor, a senior financial executive, and a financial institutions director. Alan enjoys challenging transactions and prides himself on being able to surmount obstacles, find ways to achieve client goals, and complete the toughest transactions in an efficient fashion. He serves clients that are involved in diverse commercial pursuits, including banking, manufacturing, distribution, technology, chemicals, education, marine transportation, and behavioral health.

Alan graduated with honors from law school and was a member of the Order of the Coif and has been recognized by Missouri & Kansas Super Lawyers. He is involved in numerous civic and charitable endeavors and currently serves on the boards of the Maternal Child and Family Health Coalition and St. Vincent Greenway, Inc.  Alan is also President of the Board of Covenant House and Chai Apartments – a 300-plus unit facility providing subsidized housing for the elderly. In addition, he is a member of the Jewish Federation of St. Louis Board of Trustees.

  • Managed auction process, negotiated, and closed sale of company to industry leader for significant multiple of projected 2013 sales. Transaction involved complex tax, patent, earn out, and benefits issues.
  • Conceptualized program to permit student loans to be made on a nationwide basis, taking advantage of federal preemption but utilizing non-traditional loan sources that permitted client to grow business while conventional sources had withdrawn from market.
  • Assisted client in analyzing multiple unsolicited offers, engaging investment banker and marketing, and negotiating and closing of company for price in excessof 10 times earnings before interest, taxes, depreciation, and amortization(EBITDA).
  • Assisted United States client in structuring, negotiating, and documenting joint venture to construct and operate a specialty lubricants plant in Japan.
  • Negotiated and documented sale of major piping distributor to private equity group
