Clif Ruch is passionate about the new and exciting challenges that technological advancement presents to each unique business environment. He draws upon a rich history of practicing in-house with a leading technology corporation, and he leverages that experience to provide unique insight to the business impact of software and data use agreements. Clif has extensive experience drafting and negotiating agreements for Software as a Service (SaaS) and Application Service Provider (ASP) software, cloud storage arrangements, data rights and use contracts, and IT security provisions. 

Clif firmly believes in making great efforts to gain a thorough understanding of each client’s business model and requirements in order to provide counsel on their legal needs. He has also dedicated time in his practice to review changes to both federal and state regulations and advise clients on their impact. Clif’s experience in the healthcare technology space has enabled him to review the detailed requirements of laws such as HIPAA, HITECH Act, and CMS provisions. 

Additionally, Clif has worked with clients to review and negotiate Business Associate Agreements (BAA) and other data security agreements with the goal of protecting client data. Federal requirements, as well as individual and unique state counterparts, have massive impacts on business practices and Clif is committed to providing counsel on navigating these challenges. He has also provided reviews and advice to numerous clients on acquisitions and requests for proposals. 

Each proposal presents new opportunities, but also a new set of challenges for businesses, and Clif is passionate about exploring the legal impact of these requests. Technology solutions are advancing and adapting at an incredible pace and Clif continues to learn and expand his knowledge of how these solutions can benefit clients and their businesses. These advancements also carry new legal questions, and Clif is dedicated to collaborating with clients to craft creative legal strategies.
  • Provided in-house counsel to a Fortune 15 corporation in the negotiation and licensure of software contracts and associated agreements. Legal responsibilities ranged from drafting and negotiating agreements to analyzing the impact of Federal and state regulations on software contracts and Business Associate Agreements. Advised the business on the licensure of products to numerous state and Federal healthcare agencies, as well as national health insurance providers.
