Clif has extensive experience drafting and negotiating agreements for Software as a Service (SaaS) and Application Service Provider (ASP) software, cloud storage arrangements, data rights and use contracts, and IT security provisions.
Clif firmly believes in making great efforts to gain a thorough understanding of each client’s business model and requirements in order to provide counsel on their legal needs. He has also dedicated time in his practice to review changes to both federal and state regulations and advise clients on their impact. Clif’s experience in the healthcare technology space has enabled him to review the detailed requirements of laws such as HIPAA, HITECH Act, and CMS provisions.
Additionally, Clif has worked with clients to review and negotiate Business Associate Agreements (BAA) and other data security agreements with the goal of protecting client data. Federal requirements, as well as individual and unique state counterparts, have massive impacts on business practices and Clif is committed to providing counsel on navigating these challenges. He has also provided reviews and advice to numerous clients on acquisitions and requests for proposals.
