Gerry has extensive merger and acquisition experience across numerous industries.  More recently, his merger and acquisition focus is in the insurance and health care fields. 

Gerry has a broad knowledge of the insurance industry, having worked with his family’s insurance business from an early age. Prior to his legal career, he was an insurance underwriter and claims examiner, which has given him the working knowledge to understand, from an inside perspective, the industry and the issues that insurance entities face.

Gerry focuses his insurance practice on business and regulatory matters, and has experience in mergers and acquisitions related to insurance companies (including Form A filings and approvals), insurance agencies, third-party administrators, and blocks of business. With respect to regulatory matters, his background includes the auditing of agents in the field for a national health insurance company. 

Gerry has represented insurance companies and clients on many types of issues, including the purchase and sale of all types of insurance entities, drafting and negotiating insurance distributor and reinsurance agreements, and the resolution of contract disputes between insurance clients and their agents. He also has extensive experience with third-party administrators, including the use of associations and trusts for group health policies.

In health care, Gerry is a key member of the Polsinelli mergers and acquisition team that works on all major acquisitions and divestitures for a faith-based, nonprofit health organization operating hospitals, long-term care and assisted-living facilities in 20 states. 

  • Represented a French company in the acquisition of two domestic insurance companies to gain entrance into this country’s insurance market, including the filing and approval of Form A’s related to the transaction.
  • Represented several privately held brokers in the United States with their acquisitions and sales of insurance agencies and specialty insurance programs.
  • Represented a national hospital organization in the acquisition of a health care system in Houston, Texas in excess of $1 billion.
  • Represented a national hospital organization in a $100 million sale of a hospital system in Maryland.
  • Represented a national hospital organization in the consolidation of a university medical center and two faith-based systems into a statewide network.
  • Represented an insurance holding company in the negotiation and sale of one of its insurance company subsidiaries.
  • Represented insurance company client related to the negotiation of its reinsurance agreements.
  • Represented one of the largest third-party administrators in the country as outside general counsel.
