  • Advising public companies with respect to strategic initiatives, including M&A
  • Advising growth-oriented private companies and practices on strategic and operational matters
  • Advising multi-jurisdictional providers, suppliers, and drug/device manufacturers regarding regulatory compliance matters 
  • Advising and defending pharmacies and pharmacists on licensure matters
  • Strategic partnerships and alliances involving providers, manufacturers, and others
  • Corporate governance advice and design
  • Operational advice for industry participants, including post-transaction integration matters, development of compliant incentive arrangements and contract and regulatory matters
  • Led transaction where BioScrip, Inc. purchased the stock of HomeChoice Partners, Inc. for $70 million.
  • Lead regulatory counsel in $110 million sale of private-equity owned home medical equipment company to strategic buyer.
  • Led team to signing of $223 million purchase by BioScrip, Inc. of the assets of CarePoint Partners, LLC, and its subsidiaries.
  • Provide ongoing advice to Quintiles, Inc. regarding service lines with direct relationships with payors.
  • Provided regulatory advice to ensure state law licensure of United Kingdom-based biologic products manufacturer.
  • Represented private equity purchaser of a clinical laboratory business, provided operational advice during ownership period, and led transaction whereby the private equity owner sold the lab to a strategic buyer.
  • Successfully defended licensure complaint filed against a Missouri pharmacy owned by a large national retailer.
