As co-vice chair of the Corporate and Transactional practice, Jeb Bayer enjoys working with clients to understand the goals and challenges of their businesses so that he can provide practical solutions to the problems they deal with every day. His broad experience and desire to get to know a client's business help him spot issues before they become problems, as well as develop common-sense solutions when issues do arise.

Jeb often serves in the role of outside general counsel for clients and, in doing so, makes certain that the firm provides attorneys with the right legal expertise and experience to best match the client's needs.  In over 30 years of representing small- to medium-sized businesses, both public and private, Jeb has served clients in a broad range of industries ranging from telecom consulting to commercial lending to real estate development to fuel additives to railroads.  Over the past decade, he has focused much of his practice on assisting clients when they acquire other businesses or sell their own company.

  • Completed a stock sale of a family-owned business, which manufactures the premier continuous motion ware (pot and pan) washing equipment used in the restaurant and food service industry, to a subsidiary of a publicly traded company in the commercial food service/engineered systems industry. Transaction value in excess of $25 million.
  • Represented client in providing acquisition financing and obtaining an equity position in numerous apartment complex rehabilitation projects involving more than $50 million of real property.
  • Represented client in two separate transactions selling the long-term care business and the retail pharmacy business to separate publicly traded buyers. Cumulative transactions size approximately $9 million.
  • Represented seller of company providing crew transport services to the railroad industry in a stock sale to Canadian buyer.  Transaction value in excess of $20 million.
