Jon Henderson is the managing partner for the Dallas office.  He designs, implements and closes deals in the health care services industry by taking into account not only traditional corporate and structuring considerations, but also the additional layers of licensure, provider enrollment and other regulatory specific considerations that are part of executing regional and national transactions in the highly regulated health care industry.

In serving our clients, Jon has committed more than 20 years of his practice to corporate law and mergers and acquisitions with 14 of those years primarily dedicated to advising health care industry providers and investors.  The majority of his practice is focused on advising buyers and sellers of middle market health care services companies, most of which have business operations with multiple locations in multiple states, on their business formation and structuring, merger and acquisition, divestiture, joint venture and other complex commercial transactions and related transactional regulatory activities.  Jon also frequently oversees the firm’s role as primary outside counsel in many of the client relationships.  Catholic health care or private equity investors are involved in the majority of his projects.  Over the last half dozen years, Jon has also been a student of disruptive innovation in health care services and applies those theories in conceptualizing and supporting our clients in designing and implementing new or evolving care delivery models.

During the earlier years of his career, as well as currently when long-time investment banking or other existing relationships are participating, Jon advises our clients in other industries on business formations and structuring, mergers and acquisitions, divestitures, joint ventures and other complex commercial transactions.  The other industries where Jon has led deals include oil and gas field services, medical devices, radio stations, steel fabrication, insurance, and equipment rental.

  • Acted for Apex Emergency Group P.C., Premier Emergency Services, P.C., and Apex Integrated Businesses LLC in majority recapitalization of emergency medicine physician practice and affiliated management company with U.S. Acute Care Solutions.
  • Acted for Premier Health, LLC in formation of an urgent care joint venture with Our Lady of the Lake Health System.
  • Advised Envision Healthcare, Inc. in formation of a national post-acute joint venture with Ascension Health.
  • Acted for non-profit health system in strategic venture capital investment in house calls medical provider management company.
  • Advised Premier Health, LLC in formation of an urgent care joint venture with Indiana University Health.
  • Acted for non-profit health system in strategic venture capital investment in health education company.
  • Advised non-profit health system in acquisition of pediatric physician group practice.
  • Acted for founders of Urgent Care Extra, a physician owned urgent care provider with 14 locations, in acquisition by HCA, Inc.
  • Acted for founders of Urgent Care Extra in formation of an urgent care joint venture with HCA, Inc.
  • Advised founders in majority recapitalization of correctional health care services company with Enhanced Equity Fund.
  • Acted counsel for Encompass Home Health, a portfolio company of Cressey & Company, in multiple add-on acquisitions of home health and hospice agencies across the United States.
  • Advised founders in minority recapitalization of home health and hospice technology company with Cressey & Company and SV Life Sciences.
  • Advised Guardian Healthcare, a portfolio company of Enhanced Equity Fund, in acquisition of two home health agencies in Ohio and related refinancing of senior credit facility with GE Healthcare Finance.
  • Acted for Catholic Health Initiatives in venture capital investment in Carena, a virtual physician services company.
  • Advised ambulatory surgery center management company on merger with another ambulatory surgery center management company to create resulting combined company with operations in five states.
  • Acted for founders of PrimaCare, a physician owned urgent care provider with 11 locations, in acquisition by NextCare, a portfolio company of Enhanced Equity Fund.
  • Advised non-profit dialysis services provider with operations in six states on multi-year master agreement relationship with non-profit health system.
