With nearly 40 years of experience, Mike has consulted with thousands of companies in corporate and other welfare and benefit plans, both for closely held and publicly traded companies.
Mike advised clients ranging from sole proprietorships to large companies with more than 500,000 employees. He has successfully represented numerous clients in audits by various government agencies, including the Internal Revenue Service and the Department of Labor, and has counseled and advised on sales of stocks to ESOPs and represented ESOP fiduciaries. Additionally, Mike has developed and drafted hundreds of distinctive executive compensation plans.
An original and creative thinker, Mike is the innovator of the ESOF, or Employee Stock Ownership Fund. Different from the traditional ESOP, the ESOF does not carry with it the difficult requirements of an ESOP. Mike uses ESOFs with professional companies interested in providing employees in general with company ownership utilizing unique allocation formulas and different classes of stock.
Mike also works in the area of nonprofit organizations and consults with Polsinelli attorneys in this very specialized area, as well as contributing to comprehensive books on the subject.
