Orren Adams closes deals. Whether a merger, offering, divestiture or financial reorganization, both domestic and international organizations rely on his strategic legal counsel. His transaction experience, working with some of the nation’s largest clients to closely-held and family owned enterprises, allows for a deep understanding of the client, the adverse party and the related industry.

Orren has taken a lead in the skilled nursing and assisted living transaction practice, having closed a number of acquisitions, sales, and lease purchase option transactions totaling over nine figures in transaction value. Similarly, his manufacturing practice and real estate practice traditionally close deals in the eight figure range.

Skilled Nursing/Assisted Living

  • Numerous health care related transactions (both on the sale and buy side), including the integration of hospital systems, the purchase and sale of medical practices, and the purchase and sale of divisions within a hospital. Such transactions include the following skilled nursing and assisted living facility transactions:
  • Lead counsel in connection with the sale of substantially all of the assets of an foreclosed Illinois nursing facility. The transaction’s value exceeded seven figures and involved significant corporate, real estate, regulatory, and bankruptcy expertise.
  • Lead counsel in connection with (i) the sale of substantially all of the assets of an Illinois 158 bed skilled nursing facility and (ii) the negotiation of a lease purchase agreement on behalf of the related real estate holding company. The transaction involved significant corporate, real estate, regulatory and HUD financing expertise.
  • Lead counsel in connection with (i) the sale of substantially all of the assets of an Illinois 190 bed skilled nursing facility and (ii) the negotiation of a lease purchase agreement on behalf of the real estate holding company. The transaction involved significant corporate, real estate, regulatory, and HUD financing expertise.
  • Special counsel, in connection with the sale of substantially all of the assets (including real estate) of a Kansas 120 bed skilled nursing facility. The transaction involved significant corporate, real estate, regulatory and HUD financing expertise.
  • Special counsel, in connection with the sale of substantially all of the assets (including real estate) of a Missouri 120 bed skilled nursing facility. The transaction involved significant corporate, real estate, regulatory, and HUD financing expertise.
  • Special counsel, in connection with the sale of substantially all of the assets (including real estate) of a Texas 119 bed skilled nursing facility. The transaction involved significant corporate, real estate, regulatory, and HUD financing expertise.
  • Lead counsel in connection with the sale of substantially all of the assets of a Texas 60 bed skilled nursing facility. The transaction involved significant corporate, real estate, regulatory, and financing expertise.
  • Lead counsel in connection with the sale of substantially all of the assets of a Texas 91 bed skilled nursing facility. The transaction involved significant corporate, real estate, regulatory, and financing expertise.
  • Lead counsel in connection with the sale of substantially all of the assets of an Illinois 213 bed skilled nursing facility. The transaction involved significant corporate, real estate, regulatory, and HUD financing expertise.
  • Lead counsel in connection with the sale of substantially all of the assets of a Texas 99 bed skilled nursing facility. The transaction involved significant corporate, real estate, regulatory, and financing expertise.
  • Lead counsel in connection with the purchase of substantially all of the assets (including real estate) of an Illinois 158 bed skilled nursing facility. The transaction involved significant corporate, real estate, regulatory, and financing expertise.
  • Lead counsel in connection with the purchase of substantially all of the assets (including real estate) of an Illinois 231 bed skilled nursing facility. The transaction involved significant corporate, real estate, regulatory, and financing expertise.
  • Lead counsel in connection with the purchase of substantially all of the assets (including real) of an Illinois assisted living facility (55 intermediate care beds, 47 assisted living units, and 107 independent living apartments). The transaction involved significant corporate, real estate, regulatory, and financing expertise.
  • Lead counsel in connection with the development and sale of substantially all of the assets of Illinois skilled nursing facility. The transaction involved significant corporate, real estate, regulatory, and financing expertise.

Manufacturing/Distributions

  • Numerous manufacturing transactions (both on the sale and buy side) that included sophisticated financing with senior and mezzanine debt and equity investors. Such transactions include:
  • Lead counsel for the domestic corporate reorganization of beverage company with an enterprise value over one billion dollars. 
  • Lead counsel for the acquisition of manufacturing company with an eight-figure enterprise value that included a syndicated loan facility and multiple levels of mezzanine debt.
  • Lead counsel for the sale of a distributorship with an eight-figure enterprise value that included a syndicated loan facility and multiple levels of mezzanine debt.
  • Local counsel with respect to a nine-figure syndicated financing for a health care services provider.
  • Fiduciary duty special counsel to a manufacturing company’s board of directors in the sale of a multi-owned family company.

  • Numerous blind pool private offerings in the real estate development industry. Such transactions including a number of multi-assets and multi- income sourced residential and residential real estate funds.
