Paul Sinclair has spent more than 35 years as a first chair trial lawyer in jury, non-jury, and arbitration cases, and represents secured and unsecured creditors, business debtors, guarantors, committees of unsecured creditors and equity security holders, receivers, and liquidating trusts in business restructuring, workout, and bankruptcy matters.

Paul frequently has represented directors and officers in fiduciary duty litigation, and buyers and sellers of significant businesses in asset/business sales and acquisitions. With his broad experience in piercing the corporate veil, alter ego and successor liability, subordination, re-characterization, fraudulent transfers, preference matters, and partnership disputes, he is actively involved in planning major corporate restructuring and high-net-worth individual asset planning and protection.

Among Paul’s professional distinctions are his Missouri Bar Association Oliver Rasch Award conferred in 1989, and his continuous listing since 2003 as the “Best of Bar” from the Kansas City Business Journal. He is also recognized by Missouri & Kansas Super Lawyers and Best Lawyers in America. He has published numerous articles in the American Bankruptcy Institute Journal on Ponzi scheme clawback cases and serves as a member of the board of the American Bankruptcy Institute Law Review. He frequently lectures on legal topics and contributes to Missouri Bar publications. He has served as an adjunct professor of real estate transactions at the University of Missouri-Kansas City School of Law.
  • Defended dozens of clients, including lenders, brokers, master general agents, franchisees, carriers, and major lenders in tens of millions of dollars of contract, fraudulent transfer, and preference claims.  
  • Pursued 240 preference claims on behalf of Liquidating Trust, including three trials, such as U.S. Bank, n.a., Trustee v. SMF Energy Corp., 460 B.R. 222 (8th Cir. BAP 2011).
  • Established new law in Missouri on piercing the corporate veil in a case involving an NYSE-listed parent corporation.
  • Defended scores of bankruptcy preference cases throughout the country, reducing clients’ liability to a fraction of the demand, including a major success in Payless Cashways, proving that this major lumber and building supply retailer was solvent for 67 of the 90 days prior to bankruptcy.
  • Represented Official Committee of Unsecured Creditors in a major four-year bankruptcy reorganization.
  • Serving as co-counsel to Official Committee of Unsecured Creditors, Interstate Bakeries Corporation and as lead counsel on its Post-Petition Trust Preference Actions.
  • Served as lead counsel in defending officers and directors in an action by bankruptcy trustee and investigation by Federal Deposit Insurance Corporation as well as in SEC non-disclosure breach of fiduciary duty case.
  • Serving as counsel to the principal workers’ compensation, automobile and general liability insurance carrier in the bankruptcy of the nation’s largest farmer-owned cooperative, In re Farmland Industries, Inc.
  • Served as lead counsel in defending a large series of preference actions in In re Payless Cashways, Inc.
  • Serving as creditors’ committee chairman and attorney to the committee in a land development real estate reorganization, resulting in a distribution to the unsecured creditors of 150 cents on the dollar.
