Disclosure Obligations of Kansas Private Nonprofit Organizations

A Polsinelli Shughart Update

 

In the current era of heightened awareness surrounding nonprofit governance, nonprofit boards and their directors are often called upon to consider and interpret the public disclosure obligations of their nonprofits. In particular, questions often arise regarding whether the public disclosure obligations under the Kansas Open Records Act and the Kansas Open Meetings Act (commonly referred to as the Kansas Sunshine Laws) apply to a particular Kansas nonprofit entity.

Polsinelli Shughart Attorneys Bill Quick and Amy Hornbeck Abrams recently authored an article, which appears in the March 2010 issue of The Journal of the Kansas Bar Association and addresses factors affecting a nonprofit organization’s potential disclosure obligations through its Internal Revenue Service tax filings and application of the Kansas Sunshine Laws.

This article addresses several issues that frequently arise for nonprofit boards. Some of these include:

  • Acceptance of public funds
  • Disclosure obligations
  • Performance of quasi-governmental activities
  • Open meeting requirements

The purpose of this article is to educate directors of Kansas private nonprofit corporations about certain activities that could trigger public disclosure obligations for the nonprofits that they govern.
