Mr. Rossi has extensive experience in the energy and utility fields. This includes transactions, financings and projects ranging from less than $1 million to over $2 billion. He has directed mergers and acquisitions, finance and project development, exploration, power generation and transmission. He has acted as counsel to a variety of participants including investors, owners, lenders, and underwriters. These transactions and projects have varied in size from less than $2 million to more than $1 billion, and have been located throughout the United States and in Europe, Africa, Asia, and Latin America.
Since the 1980s, Mr. Rossi has served as lead counsel in the development, acquisition, financing, and refinancing of more than 500 energy and technology projects. He has managed billions of dollars of conventional oil and gas projects but in the past decade has concentrated in renewables projects, such as solar, wind, geothermal, hydroelectric, biomass and nuclear. Recent projects have included cutting edge ancillary utility services (frequency regulation and storage) projects, geothermal and data center projects in Iceland, and biofuels projects. He has experience in all regulatory, financial, and operational aspects of the energy industry.
Mr. Rossi also handles corporate and transactional matters, particularly in the energy, biotechnology, pharmaceutical, natural resources, and computer areas. He has been involved in the sales and acquisitions of mining and oil and gas properties as well as long-term supply agreements and power plant development with foreign entities in China, Iceland, Indonesia and Canada for public multinational clients as well as independent companies. His practice includes the successful completion of corporate securities, M&A and restructuring projects.
Mr. Rossi has handled a number of successful workout and reorganization projects in the banking, energy and computer industries. This includes work with officer and director clients of a number of banking institutions dealing with the financial meltdown in the 1980s recession, including work with the Resolution Trust Corporation, representing creditor claims in bankruptcies, and the purchase and sale of seized bank and securities firm (SPIC) assets.
Mr. Rossi has been tapped by Colorado Governor Hickenlooper to advise on franchise issues for Colorado's Energy and Public Utility Commission matters and he serves as an energy advisor to the administration. He has been a member of the Board of Directors of several Denver-area charities and public interest organizations. He is a sought after and frequent speaker and lecturer on legal topics, venture capital and renewable energy.
