Scott Herpich practices primarily in the areas of securities transactions, corporate finance, mergers and acquisitions, securitized loan servicing, financial services and general corporate/business law. His experience includes representing public and private companies in connection with mergers, stock and asset acquisitions and sales, public and private equity and debt offerings, compliance with securities regulations, corporate governance, contested and uncontested tender offers and proxy solicitations, venture capital and bank financings and joint ventures, and representing loan servicers and consultants in connection with the defeasance of CMBS loans.
Mr. Herpich has extensive experience representing public companies in connection with mergers and acquisitions, registered and private equity and debt offerings and compliance with securities regulations, including registration and reporting requirements, requirements under the Sarbanes-Oxley Act of 2002 and corporate governance matters. Mr. Herpich also has extensive experience in representing clients in connection with hostile tender offers and proxy solicitations relating to public companies.
