William E Quick

Through his business-oriented practice, William E. Quick represents for profit public and private business entities and nonprofit entities and associations.

 

Handling a broad array of corporate legal needs, Mr. Quick counsels clients about corporate governance, asset and equity purchases, sales, mergers and acquisitions, reorganizations, proxy contests, financing, securities law compliance, strategic alliances, joint ventures and general business and commercial law. 


He has served as corporate and transactional counsel for several large national and regional real estate investors and developers in regard to the acquisition, divestiture, financing, refinancing, control, management and operation of their substantial commercial real estate development portfolios, working closely with attorneys in the firm’s secured lending, tax and real estate practices.    

Mr. Quick co-produced and wrote “The Directors’ Dilemmas,” a feature film illustrating corporate governance issues and best practices through a corporate drama format.  He also co-produced and developed the program for The Directors College, an ISS accredited program for corporate directors and senior management.

Experience

  • Representation of a major national real estate developer in creating joint ventures and other vehicles for investments with investment funds, hedge funds, investment banks, commercial banks, domestic and foreign institutional investors, sovereign wealth funds, and domestic and foreign high net worth individuals and families in more than 130 transactions to acquire and develop condominium, hotel, retail, office and mixed-use projects in New York, Dallas, Chicago and other major cities throughout the United States and in Canada.
  • Served as lead corporate and finance counsel to a national real estate developer in creating joint ventures and other vehicles for investments with investment banks, commercial banks, institutional investors, domestic and foreign retailer corporations, and high net worth individuals and families in more than 30 transactions to acquire, develop, finance and refinance condominium, hotel, retail, office, mixed-use and lifestyle center projects throughout the central, west and southwest United States.
  • Served as lead corporate counsel to a regional real estate developer in creating joint ventures and other vehicles for investments with investment banks, commercial banks, investment funds, tenant partners and high net worth individuals and families in more than 45 transactions to acquire, develop, finance and refinance retail, office, industrial and mixed-use projects in Kansas City, St. Louis, Atlanta and surrounding regions.
  • Served as lead corporate counsel in managing the corporate portfolios of companies and parent/holding companies for several large national and regional real estate investors and developers.
  • Representation of real estate investment fund managers and investors, including funds investing in distressed assets.
  • Representation of numerous international life sciences companies in managing their U.S. operational, corporate governance and strategic acquisitions and business partnering matters, including those in the DNA testing, veterinary, blood and plasma, cell culture reagents, and animal health and nutrition industries.
  • Representation of a substantial biomedical research organization in managing its operational and corporate governance matters.
  • Representation of a national telecommunications company in establishing and negotiating its nationwide cell phone coverage build out affiliates program, in numerous acquisition and divestiture transactions nationwide, and in serving as jurisdiction of incorporation counsel in regard to multiple tranches of public debt offerings.

The U.S. Supreme Court struck down part of the Sarbanes-Oxley Act as unconstitutional, but said its decision has limited consequences. Missouri Lawyers Weekly interviewed Polsinelli Shughart attorney Bill Quick for his reaction and thoughtful reflection of what the decision might mean for the buisness community.

In the current era of heightened awareness surrounding nonprofit governance, nonprofit boards and their directors are often called upon to consider and interpret the public disclosure obligations of their nonprofits.

Polsinelli Shughart Attorneys Bill Quick and Amy Hornbeck Abrams recently authored an article, which appears in the March 2010 issue of The Journal of the Kansas Bar Association and addresses factors affecting a nonprofit organization’s potential disclosure obligations through its Internal Revenue Service tax filings and application of the Kansas Sunshine Laws.

The Securities and Exchange Commission (SEC) recently deferred smaller reporting company compliance with the attestation requirements of Section 404(b) of the Sarbanes-Oxley Act of 2002 (SOX) for the fourth, and last, time. This is the fifth year that auditor attestations have been required for larger public company peers.
