Getting the Deal Done: Key Corporate and Antitrust Considerations for Clients

Navigating a complex transaction with antitrust implications requires thoughtful counseling to manage state and federal regulatory challenges. This session will discuss the corporate and antitrust considerations for a transaction from inception to closing.

Agenda

  • We will discuss key corporate considerations in structuring a transaction to account for antitrust risk allocation and closing timeline risks
  • We will also discuss key antitrust touchpoints and considerations during the transaction timeline
  • We will discuss recent changes to the HSR process and the expanding state premerger filing regulatory process

Navigating the Changing Trade & Tariff Landscape

  • New trade investigations and agreements impacting global supply chains.
  • Mitigation strategies to improve stability in a changing environment.
