Polsinelli Advises Curium on Transformative $8 Billion Definitive Agreement to Merge with Lantheus
Polsinelli recently served as intellectual property legal counsel to Curium, a leading global radiopharmaceutical company, in connection with its definitive agreement to combine with Lantheus Holdings in a transaction valued at up to approximately $8 billion. Under the agreement, Lantheus will merge with a wholly owned subsidiary of Curium US Holdings.
The combination would bring together Curium’s theranostics portfolio and global manufacturing platform with Lantheus’ complementary U.S. radiodiagnostics business, creating a radiopharmaceutical company spanning diagnostics and therapeutics with the infrastructure and capabilities to serve patients in more than 70 countries.
“This is a significant combination of two companies with complementary strengths across nuclear medicine,” said Morgan Kirley, Vice Chair of Polsinelli’s Chemical Science Patent Prosecution Practice. “We are proud to support Curium on a transaction that advances its growth strategy and positions the combined organization to expand the reach of diagnostic and therapeutic radiopharmaceutical solutions to patients around the world.”
The transaction is expected to close in the first half of 2027, subject to customary closing conditions.
More information about the transaction can be found here.
Morgan Kirley and Chemical Science Patent Prosecution Chair Kathryn J. Doty led the Polsinelli team, which also included Andrew M. Solomon, Blake A. Ronnebaum and Trevor D. Wagner.
