New SEC Disclosure and Shareholder Voting Proposals

The Obama Administration and Congress have introduced important legislative and regulatory proposals designed to increase corporate transparency and accountability, and improve the regulation of financial firms. The scale of these proposals is hardly surprising given the severity and viral spread of the financial crisis and the Democrats’ intention to address what they believe are its root causes and the corporate cultural shortcomings it exposed. These developments will have a profound effect on public companies and financial firms and the deliberations of their compensation committees, and will largely define the 2010 proxy season.
