Speaker Announcement: Let the Buyer Beware! Ransomware and Other Cybersecurity Threats Create Peril in High Stakes Health Care M&A Transactions

Polsinelli is proud to announce that Shareholder Lisa J. Acevedo will present at the AHLA annual meeting in San Francisco on June 27, 2017. As the culmination of AHLA's educational year, the annual meeting provides a forum for networking and interaction with colleagues, friends, and family as well as an outstanding educational event. Every year, the annual meeting offers an array of health law topics that will appeal to anyone practicing in this area.

We will explore the cybersecurity threats that present the most peril in M&A transactions and why timing to address solutions is critical. We will address risks that remain even under traditional liability-limiting deal structures, what to look for when evaluating a target’s privacy/security risks and how to be compliant on “Day 1” of operations. 
  • Attendees will learn about the specific risks that ransomware and other forms of cybersecurity attacks present in a health care M&A transaction, how these risks are adversely impacting deals, why they are going unnoticed until it is too late, and how to identify and address them through security risk analysis
  • Attendees will learn key steps to take to restructure due diligence in order to proactively identify and address cybersecurity and other privacy/security risks, as well as key strategies to address risk in the deal documents
  • Attendees will learn practical tips to mitigate residual risk after the deal closes, including steps to take to address the Office for Civil Rights’ expectation that operations are compliant with the Privacy and Security Rules on “Day 1”
