ACC Chicago CLE - The Accidental Franchise: What Every In-House Lawyer Should Know About Franchise Law
February 28, 2019
11:30 AM - 2:00 PM Central
Polsinelli Lincoln Park Conference Center | 150 N. Riverside Plaza | Suite 3000 | Chicago, IL 60606
Many commercial agreements call for licenses of trademarked products or services. The most obvious examples are supply, manufacturing and distribution agreements. Less obvious examples include joint venture, branding, management, sales agent and other types of licensing arrangements. Many experienced practitioners are surprised to learn that these agreements may be construed as franchises. This can have dire legal and business consequences.
This Program will look at the risk of the so-called “accidental” or “inadvertent” franchise. The session will address the development of franchise law in the United States. It will also consider application of the Illinois Franchise Disclosure Act and other state laws regulating the franchise relationship. By the end of the Program, in-house counsel will have a basic understanding of franchise law, and will gain insight about best practices and other risk-avoidance strategies.
As a member of Polsinelli’s Global Franchise and Supply Network team, William Sentell focuses his practice on franchise and distribution litigation, alternative dispute resolution, and related corporate, regulatory and compliance matters. He routinely draws on his national litigation experience as a commercial trial lawyer to provide advice related to state, federal and international franchise laws. William’s frequent writings about legal issues affecting the franchise community have appeared in several leading academic and industry publications, including The Franchise Lawyer, The Franchise Law Journal, and Franchising World.
Speaker: William Sentell, Counsel, Polsinelli
