The US Securities and Exchange Commission has recently issued new regulations under Regulation D, Section 506(c), that will allow companies and funds seeking investment to publicly advertise and solicit prospective investors subject to various restrictions. Public advertisement and investor solicitation has not previously been allowed and these new rules are a major, fundamental change in the manner in which companies and funds will be able to seek investors. The new rules will become effective September 23, 2013.
Polsinelli attorney Andy Hoyne will review the new rules, related additional rules proposed by the SEC, and considerations for companies contemplating using these new rules. UPBrand's President/Executive Creative Director, Jeff Insco, will discuss this new funding opportunity from an advertising and marketing perspective.
