Polsinelli is pleased to announce that four attorneys in its top-ranked Global Franchise and Supply Network Practice have been included in Franchise Times Magazine’s 2022 Legal Eagles list. The four attorneys to achieve this honor are Shareholders Joyce Mazero and Diana V. Vilmenay, Associate Emily N. Doan, and recently retired Shareholder, Jan S. Gilbert.
The annual ranking recognizes the top lawyers with deep experience working in the franchise sector. According to Franchise Times Magazine, the list includes franchise lawyers at the top of their game that provide outstanding service to clients and the industry. Attorneys were selected based on the number and quality of nominations.
Gilbert, Mazero and Vilmenay have been included in Franchise Times Magazine’s Legal Eagles list in previous years. Doan is one of 22 members apart of the new member class.
Emily N. Doan
Doan strives to provide all clients with valuable legal counsel in a wide range of domestic and international franchising, supply chain, distribution, and licensing matters. Her practice focuses on structuring programs for domestic and international distribution and growth, mergers and acquisitions, compliance issues and franchise relationship issues. She also represents clients in litigation involving franchise, supply network and distribution, intellectual property, and other commercial disputes.
Doan was selected for inclusion in The Best Lawyers in America® for Copyright Law in 2022.
As Co-Chair of the Global Franchise and Supply Network practice, Mazero represents national and global product and service-based companies in major initiatives. She supports clients in structuring franchise and distribution networks, purchasing cooperatives and buying groups, negotiating strategic alliances, joint ventures, domestic and international licensing, franchising, manufacturing, retail and logistics deals. She also supports the buying and selling franchise chains, food service providers and manufacturing plants, and litigates franchise, intellectual property and distribution disputes around the world.

Diana V. Vilmenay
With more than a decade of experience in franchising, Vilmenay counsels clients on a variety of franchise matters, including structuring franchise programs for growth domestically and abroad, mergers and acquisitions, compliance issues, and franchise relationship issues. She is adept at preparing franchise disclosure documents and managing domestic and foreign franchise filing and registrations. She draws on her previous experience as a commercial litigator and an in-house intern for one of the largest global hospitality chains to review, prepare and negotiate all forms of commercial agreements with an eye towards protecting her clients’ best interests.
Vilmenay was recognized as a Legal Eagle by Franchise Times Magazine for the first time in 2021.
Jan S. Gilbert
With more than 30 years of experience, Gilbert advised start-ups and developed franchisors and franchisees on a wide variety of franchise relationship matters, including structuring franchise programs, federal and state regulatory issues, mergers and acquisitions, compliance issues and drafting development and area representative agreements. He leveraged his previous experience to negotiate both domestic and international agreements and resolve franchisee disputes. He regularly responded to state and administrative inquires and investigations and served as an advisor throughout the establishment of development of franchise advisory councils and cooperatives.
This year marked the 14th time Gilbert has been recognized as a Legal Eagle by Franchise Times Magazine. He has also been recognized by Chambers USA, Best Lawyers in America®, Washington D.C. Super Lawyers and more. Gilbert retired from Polsinelli earlier this year.
