As businesses embrace the use of Facebook and Google as marketing tools, they also confront a myriad of unintended legal issues. The use of social media by employees is forcing companies to rethink the boundaries between the workplace and home. In addition, corporate use of social media may trigger complex corporate and regulatory issues.

Many companies use social media and search engines to advertise their products and services. Some companies use the practice of buying or using keywords on Facebook, Google, Yahoo! and other services to generate advertising and "sponsored links." Sometimes the "keywords" purchased or used can be a competitor's trademark used to generate a competing ad.

In the latest of Polsinelli Shughart's business and law breakfast briefings, we will discuss the implications of the use and misuse of social media, the development of effective social media policies, and whether use of search engines to advertise your products amounts to trademark infringement.

Sean Gallagher has more than 20 years of courtroom experience covering a broad range of complex litigation, including commercial, employment, and public policy matters. He has handled commercial litigation matters involving claims for fraud and misrepresentation, securities fraud, antitrust violations, consumer protection violations, trademark and copyright infringements, environmental whistleblowing, violations of the False Claims Act, and corporate governance disputes. Mr. Gallagher also assists his clients in forging proactive employment policies that minimize the risk of litigation; however, when necessary he represents employers in cases involving allegations of employment discrimination, civil rights and False Claims Act violations, Sarbanes-Oxley violations, retaliatory discharge, breach of contract, ERISA violations, Section 1983 claims, and libel and slander. He has extensive experience in matters involving negotiating and litigating executive employment agreements, representing both individuals and employers.

Jeffrey Kass is a shareholder in the firm's Intellectual Property and Business Litigation practice groups. He has more than 15 years of experience representing clients in many areas of law. He practices out of Polsinelli Shughart's Denver and St. Louis offices. Mr. Kass focuses his practice on trademark, copyright and patent litigation, as well as technology law, business and commercial litigation, broker-dealer arbitration and business planning matters. His practice also focuses on contract issues, software licensing, Internet domain name disputes, and related areas of law. He is experienced handling preliminary injunctions and temporary restraining orders, jury and non jury trials, disputes before the Patent & Trademark Office, and he has participated in securing multiple intellectual property victories in federal court, including winning a significant trademark jury victory in 2009. He also advises companies on various business planning issues, and he is general counsel to multiple startup companies.
