Andrew Douglass approaches legal counsel through the lens of the client.  By focusing on the client’s definition of success, he tailors his employee benefits counsel so that it is centered on how to help the client reach its unique business objectives. With a prior background as an actuarial consultant in the employee benefits practice of a large public accounting firm, Andrew brings a multi-faceted approach to helping employers address the legal, financial, and administrative issues that affect their benefit plans. Andrew also serves as Chair of the Employee Benefits and Executive Compensation practice group at Polsinelli.

Andrew regularly counsels both public and private companies on their qualified and nonqualified retirement plans, health and welfare plans, and other benefit arrangements, including issues that arise during mergers, acquisitions, and other business transactions. In particular, Andrew has extensive experience helping employers in matters relating to:
  • Plan design and administration considerations
  • Fiduciary responsibilities and plan governance issues
  • Negotiating agreements with plan service providers
  • Employee benefit issues for individual employment agreements and severance arrangements
  • Discrimination testing for 401(k) plans, pension plans, and other qualified retirement plans
  • Executive compensation programs, including considerations relating to Code Sections 162(m) and 409A, as well as SEC reporting issues for publicly-held companies
  • Disclosure and reporting requirements under ERISA, the Internal Revenue Code, and other laws
  • Participant claims and appeals
  • Audits and other proceedings before the Internal Revenue Service, Department of Labor, and Pension Benefit Guaranty Corporation
  • Withdrawal liability and delinquent contribution demands relating to multi-employer plans
Andrew is an active member in the Society for Human Resource Management (SHRM). He is also a frequent speaker and author in the employee benefits community.
