Aileen Murphy enjoys assisting clients in navigating and responding to the changes occurring in the regulatory health care sector. Her previous experience, including holding numerous positions in the health care field, have strengthened her ability to provide counsel rooted in an understanding of not only the law, but also how legal issues or regulatory changes can impact clients. Aileen’s practice focuses mainly on providing assistance with transactions for hospitals, physician practices, ambulatory surgery centers, and other health care entities in connection with acquisitions, joints ventures, mergers, restructurings, and entity formation.

In addition, Aileen advises health care clients on regulatory and compliance matters, including physician self-referral restrictions, licensure and accreditation, and corporate governance matters. Aileen also assists clients with the drafting and negotiation of a variety of contracts, including physician employment agreements, management and co-management agreements, and affiliation agreements. She has provided substantial assistance to clients with hospital/physician integration initiatives and other integration and alignment strategies for health care providers and entities.

Aileen’s relevant transactions include:

  • Represented various nonprofit health systems throughout the country in membership substitution transactions involving other nonprofit healthcare entities
  • Representing private equity entities in the acquisition of various healthcare entities including structuring such transactions in compliance with applicable corporate practice doctrines
  • Representing clients in assets sales of ambulatory surgery centers, acute care hospitals and affiliated entities
  • Negotiating the health care portion of numerous securities offerings for health care clients, including ambulatory surgery centers
  • Drafting and negotiating all documents for multi-specialty and single-specialty physician groups
  • Assisting various clients with medical franchising matters
  • Drafting and negotiating transactions for hospitals, physician practices, ambulatory surgery centers, and health care suppliers
  • Advising clients regarding Stark Law, the Anti-Kickback Statute, and applicable state regulations
  • Represented a client in the sale of a large nonprofit hospital and affiliated entities to another nonprofit health system.
  • Represented various health systems with affiliation arrangements involving other health systems.
  • Assisted a hospital in expanding its oncology service line to a broader community.
  • Assisting a health system with structuring de novo joint ventures and also acquisitions of existing joint ventures.  
  • Assisted a private equity fund with the acquisition and structuring of various dental practices in various states.
  • Negotiated numerous transaction documents and associated documents for a large multi-specialty physician practice. 
  • Negotiated the health care portion of numerous securities offerings for health care clients including ambulatory surgery centers and medical device manufactures.
