Dave Babiarz is a corporate and securities attorney who helps clients navigate the mosaic of federal, state, and other regulatory laws that affect their efforts to raise financing, grow their business and operate as public companies. Clients value his ability to guide them through the complex securities environment in a decisive yet transparent manner.  

For newer organizations, he counsels on various fund-raising options that are available to foster relationships and grow their business. As the company matures, Dave has extensive experience acting as transactional counsel to public companies in a broad range of industries and across a diversity of corporate matters. He represents issuers in a variety of public offerings, including: 
  • Counseling the client through the selection of an underwriter
  • Preparing the business for the underwriting process
  • Adjusting corporate governance to comply with the requirements of the applicable stock exchange
  • Preparing the necessary documents for filing with the U.S. Securities and Exchange Commission
Once the company is public, Dave assists with the preparation and filing of all documents necessary to maintain the business' standing with the SEC and applicable securities exchange. On an on-going basis, he works closely with the clients' other professional advisors, including in-house counsel, to provide a multi-faceted approach to operating in a stringent regulatory landscape.

Dave also assists executives with growing their business by identifying, evaluating and completing acquisitions of other businesses and assets. Working with fellow lawyers at the firm, Dave helps the clients identify potential legal pitfalls and advising them appropriately. He has particular experience working with natural resources based businesses.
