Dan DeChesaro focuses his practice on business transactions for clients across a diverse array of industries. He has extensive experience representing clients in private practice and has served as General Counsel of a public company after assisting it acquire an iconic American company and brand. 

Dan represents local and regional businesses in a myriad of corporate transactions, including mergers, acquisitions, corporate structuring, financing and other transactions. He supports clients through all phases of the business life cycle, from entity selection and formation, capital or debt raises through succession planning, sale and/or dissolution and the governance and commercial transactional needs in between. 

Dan leverages his prior experience as General Counsel to provide business-savvy, practical advice to his business clients, understanding the delicate balance and competing interests of strategic decisions. As General Counsel, Dan was primarily responsible for implementing corporate governance processes and overseeing the legal matters involved as the company expanded its core business pursuits, including key technology-based operations and branding opportunities. He also assisted the company in listing its stock for trading on the American Stock Exchange and navigated an SEC investigation.

  • Represented Smith & Wesson in taking the company public prior to its 150th anniversary.
  • Represented platform company in its roll-up of several metal manufacturing companies located throughout the southwest United States and in its financing of the same.
  • Represented Arizona-based company as they acquired, consolidated and developed several different high and low technology printing operations in Arizona and Nevada.
  • Represented publicly traded internet advertising/loyalty provider and retail goods supplier in going public and in regulatory compliance work.
  • Represented worldwide shipping and logistics company as the flagship piece to the sale to a PE-based company as part of a large-scale roll-up.
  • Represented nationwide ATV and pleasure vehicle chain in acquisition by a public company.
  • Represented ESOP-owned nationwide environmental consulting firm in acquiring various businesses across the United States as part of expansion plan.
  • Represented several different operating companies acquired as part of planned roll-ups in their respective industries, including high-tech and manufacturing businesses.
  • Represented several companies in the distribution and logistics industry, including multiple acquisitions, divestitures, and strategic operational transactions.
  • Represented numerous entrepreneurs in the sale of their operations to private equity firms and public companies, including in the healthcare, petroleum distribution, refrigeration, food and higher education industries.
  • Counseled and represented regional transportation entity, international alliance of industrial and residential subcontractors, and multifaceted residential subcontracting company to restructure their respective corporate and subsidiary operations.
  • Served as outside General Counsel to multiple clients, including national, regional and local clients in the cybersecurity, residential contracting, business consulting, transportation, hi-tech, wholesale products and real estate development industries.
  • Counseled numerous nationwide and local cannabis-related operations with respect to proper corporate structure, capital raising and operational transactions.
    Assisted numerous companies in restructuring their corporate structure for tax planning and/or limiting liability among related business operations.
