Debbie Klis is known for her work with investment management companies and the formation/operation of private investment funds, including hedge funds, private equity funds, real estate funds and syndications, international master-feeder structures, and EB-5 immigration funds and regional centers. Debbie has extensive experience with private securities offerings and financial products, including derivatives and global equity offerings, where she represents placement agents, issuers, broker-dealers, investment banks, and multi-national financial institutions, funds, investment advisers, investment companies, and banks. She also advises equity sponsors, their portfolio companies, and registered and unregistered funds on a diversity of securities- and investment-related regulatory issues. 

In connection with the EB-5 program, Debbie represents real estate developers and public and private companies seeking capital to fund their capital intensive or job intensive projects. She helps clients negotiate favorable terms in arms' length deals or to form their own regional center or to rent a regional center, including projects related to: 
  • Large-scale solar and wind energy projects

  • Hospitality, including casinos, ski resorts, restaurants and hotels

  • Exemplar applications
  • I-526 templates
  • Securities offering documents
  • Loan documents, including procuring bridge loan and bridge equity, and corporate documents for compliance with the EB-5 program requirements
Her recent projects include utilizing EB-5 financing in combination with the low-income housing tax credit, with HUD financing, energy tax credits, various forms of bond financing, historic tax credits, and TIFs.

  • Represented a top real estate team in Western Michigan on the formation and launch of a $40 million real estate fund. 
  • Represented District of Columbia Housing Authority in connection with a $16 million loan to fund a mixed-use housing development that contained affordable and at-market housing using LIHTC and EB-5 financing.
