Donna Ruzicka has focused her practice on serving health care clients throughout the United States for more than 10 years.

Donna works with clients to structure transactions in ways that help them accomplish their business goals while also complying with health care laws and regulations. For instance, Donna regularly advises clients on health care laws that include physician self-referral laws (Stark), anti-kickback laws, corporate practice of medicine prohibitions, Medicare and Medicaid enrollment and reimbursement rules, and state health care licensure laws.

Her clients include home infusion providers, specialty pharmacies, home health agencies, physician practices, academic medical centers, hospitals, clinical laboratories, and pharmaceutical manufacturers.

In addition to advising on structuring, Donna regularly drafts and negotiates transaction documents and assists clients in complying with health care regulatory requirements. This includes researching and summarizing requirements and developing timelines for completion of pre- and post-closing applications and notices to ensure continued rights of a licensed health care facility to operate and bill third party payors following closing of a transaction.

Donna also regularly assists clients with their general corporate and health care contracting, licensure, and third-party reimbursement needs. This assistance includes drafting and negotiating corporate documents, as well as operational contracts such as services agreements between health care providers. She advises clients on health care licensure requirements and on reimbursement requirements, particularly with respect to the Medicare and Medicaid programs.

  • Provided general corporate and health care regulatory advice on acquisition of business operating in five states that provides alternate site infusion pharmacy services for $41 million in cash.
  • Provided general corporate and health care regulatory advice on acquisition of company that delivers insulin pumps, continuous glucose monitors, and related supplies to insulin-dependent diabetics.
  • Provided general corporate and health care regulatory advice on hospital’s acquisition of six-physician cardiology practice. Representation included reviewing and advising on potential anti-kickback implications related to valuations for practice acquisition, lease of physician-owned real estate, and physician compensation for professional and medical director services.
  • Provided health care regulatory advice, including recommendations on and assistance with implementation of change of ownership filings for more than 1,200 pharmacy, home health and other licenses covering all 50 states, in connection with the sale of specialty pharmacy and home infusion provider. With the assumption of some debt, the transaction had a total enterprise value of approximately $850 million.
