Jeanna Palmer Gunville’s practice focuses on corporate healthcare transactional work and regulatory matters. Her breadth of experience and in-depth understanding of the health care industry enable her to provide practical assistance to achieve her clients’ legal, business and operational objectives.

Jeanna counsels hospitals, health systems, academic medical centers, surgery centers, post-acute care providers and provider organizations on matters including:

Prior to practicing law, Jeanna served as a law clerk in the Consumer Protection Division of the Health Care Bureau of the Office of the Illinois Attorney General and as a judicial extern in the United States District Court for the Northern District of Illinois.

• Represented an academic medical center in multiple system affiliations and mergers, including performance of due diligence, management of corporate and regulatory requirements, and negotiation of definitive agreements.

• Represented a multi-state health system in the acquisition of a community hospital.

• Assisted several hospital systems in purchases of physician practices, including advice on corporate structuring for physician integration and physician compensation methodologies.

• Represented newly-formed single-specialty groups upon consolidation of multiple medical practices.

• Represented several hospital systems in procurement and outsourcing arrangements, including materials management, laboratory equipment and services, medical supply distribution, patient transport, biomedical device maintenance and repair, transcription and hotel services.

• Represented an accountable care organization in a contractual affiliation with a provider of on-demand urgent healthcare to serve post-acute care patient population.

• Assisted several hospital systems with contractual affiliations with post-acute care providers, including skilled nursing facilities, home health and hospice care providers.

• Represented several hospital systems in arrangements with vendors supplying telehealth monitoring services.
• Assisted several hospital systems with the negotiation of professional services arrangements.

• Assisted a national retailer in a regulatory review of pharmacy operations.

• Assisted an occupational health management services company in a regulatory review of multi-state operations and development of captive professional corporation vehicles.

• Represented underwriters in tax-exempt bond financing transactions for large academic medical centers and other non-profit health care providers.
