Jim Polsinelli has devoted his entire legal career to the representation of mid-market companies, remaining with the firm he founded in 1972 with two other young attorneys in the historic Country Club District of Kansas City, Mo. The firm has since grown to serve clients across a wide range of practice areas from 20 offices throughout the United States. At the same time, Jim has continued to build long-standing relationships with clients in a variety of industries, including manufacturing, retail food operations, distribution companies, photographic development facilities, industrial hardware operations, alcoholic beverage distribution, trucking, mortgage services operations, mining, real estate investments and related businesses. The breadth of Jim’s experiences with different industry groups has been invaluable in advising an industry diverse client group.

Jim’s representation on behalf of mid-market clients includes:
  • Guidance on M&A and general corporate matters
  • Management of tax, employment, intellectual property, and benefits and regulatory issues customarily encountered by mid-market clients
  • Advice regarding succession planning and estate planning
  • Representing a mid-market private equity firm in a series of purchases and subsequent sales in the food manufacturing space.
  • Representing a large retail grocery chain in numerous retail stores and real estate acquisitions including purchase agreements, tax, employment, environmental, financing and related issues.
  • Representing a national surgical procedure distribution business in its sale to a private equity firm.
  • Representing a national information security provider who provides multiple services to retail operations, U.S. Government facilities and for profit entities in the sale to a private equity firm.
  • Handled special committee assignments concerning investigation of corporate management of previously undetected fraud and self-dealing over the course of 10 years.  The investigations resulted in the subsequent indictment of the management groups and recoupment of substantial funds to the clients.
  • Acting as general counsel to a number of highly successful mid-market companies in the Midwest and serving as adviser and counsel to these companies with respect to succession planning and exit strategies for both privately held and family businesses.
