JR Lanis is vice chair of the firm’s Securities & Corporate Finance Practice. He is an experienced securities and mergers and acquisitions attorney who has closed multimillion- and multibillion-dollar transactions, with a focus on initial public and secondary securities offerings and large acquisitions for exchange-listed companies. JR is experienced in public company reporting and Sarbanes-Oxley compliance for OTC, NASDAQ, and NYSE-listed entities, and has been responsible for significant registered stock and debt offerings, private stock and debt offerings for public and private companies, SPACs, tender offers, spinoffs, and going private transactions.

JR is a hands-on attorney whose depth of experience enables him to provide calm, thoughtful counsel to his clients as he guides them through complex and often novel transactions. He also serves as counsel to numerous registered funds, investment banks, and private companies. JR has extensive experience in a variety of industries that include technology—with a specific depth of experience in fintech—as well as hospitality, consumer products, and life sciences. 

JR has significant securities law experience, often with sophisticated and novel transactions. Some of these include:

  • A leading insurance provider in the distribution of shares of a majority-owned subsidiary to its stockholders, resulting in an independent, spun off New York Stock Exchange-listed 
  • A $30 million venture capital round for an online banking platform for an up and coming fintech company
  • A publicly traded insurance company in a $300 million senior note offering
  • An international manufacturing company in its registered equity offering and uplist to the NASDAQ
  • A fintech company in maintaining its regulatory compliance before the SEC and other oversight authorities
  • An oil and gas exploration company in its $100 million initial public offering on the London Stock Exchange

Some of JR’s M&A and corporate transactional experience includes:

  • The structuring, equity financing, and acquisition of a major U.S. professional sports franchise
  • A Fortune 500 waste management company in a series of M&A acquisitions and complex joint venture transactions spanning the United States
  • A publicly traded national restaurant chain in a management-led leveraged buyout and going-private transaction for a New York Stock Exchange listed company
  • A manufacturing company in a $300 million asset sale to a strategic buyer
  • An international conglomerate in a $1 billion-plus acquisition of a consumer electronics company
