Katherine (Kate) Mathews’s practice focuses on commercial lending and real estate development. She works closely with clients to find every opportunity to add value and to pin point creative solutions to achieve their business objectives.

Kate has experience representing a variety of borrowers and investors, including private equity sponsors, portfolio companies, and other private companies in a wide-range of lending transactions, including syndicated financings, cross border loans, secured and unsecured lines of credit, asset-based loans, cash-flow loans, bridge loans, mezzanine loans and unsecured subordinated indebtedness. She also represents major banks, regional banks and financial institutions as agents and lenders in financial transactions.

Kate focuses her real estate practice on commercial, residential and mixed-use real estate development and finance, with an emphasis on representing real estate developers and development interests in the areas of real estate development, acquisitions, sales, leasing and debt and equity financing. Kate has substantial experience in affordable housing and tax-credit partnerships and tax credit financings, as well as related governmental compliance.

Represented buyers and sellers in various multi-family mixed use transactions, including:

• Advised Seattle-based developer on the acquisition, development and sale of a $225.3 million apartment tower in downtown Seattle

• Counseled Seattle-based developer on the $44.5 million acquisition of a mixed-use office, retail and restaurant project in Kirkland, Washington

• Represented developer on the acquisition, construction and sale of an $89.5 million multi-family mixed-use development in the Seattle area

• Advised California-based developer on the disposition through seller-financing of 42 condominium units in Seattle, Washington, to international purchaser

Represented developers and housing authorities in the acquisition, tax credit financing and disposition of affordable housing projects, including:

• Sale of a portfolio of 20+ affordable housing projects in South Carolina, Texas and California

• Sale of general partnership interests in 50 affordable housing projects in Florida

• Financing of 4% and 9% tax credit transactions for a scattered site portfolio in Washington

Represented landlords and tenants in various office, retail, and restaurant leases, including:

• Represented a California hotel developer on the ground floor retail leasing and rooftop cell tower leasing for a downtown Seattle hotel

• Represented a tenant in the restructuring of a ground lease interest and sublease to a hotel operator

• Represent multiple landlords in connection with retail and restaurant leasing for properties in downtown Seattle, Kirkland, and Bellevue, Washington
