Kelly brings a practical business sense to the complicated world of insurance. Kelly's clients appreciate her dedication to understanding their business and her ability to see big picture solutions with a results-oriented focus. While Kelly focuses her practice on advising organizations in the insurance industry, she also acts as a technical legal adviser and as outside general counsel to a number of companies across industries.

With expertise in various areas of insurance law, Kelly's background allows her to apply fundamentals of corporate law when addressing organizational formations, contract negotiations and business combinations. Her insurance specific expertise includes matters across health plans/property & casualty/professional liability/captive and pooling, advising on: licensing; expansion; alternative risk transfer arrangements; captives; agency and producer licensing; compliance and regulatory reporting; mergers and acquisitions (of both agencies, individual books of business and insurers); corporate governance; insolvency issues; insurance holding company compliance and InsurTech technology innovations.

Kelly is the founder of the collaboration at Polsinelli between the firm’s insurance and technology practices assisting companies innovating within the InsurTech movement.

Specifically, Kelly’s experience includes:
  • Joint ventures and strategic alliances
  • Licensing of property/casualty insurers, professional liability insurers, workers compensation insurers, public entity risk pools, life & health insurers (including HMOs and health service contractors
  • Alternative risk transfer arrangements, including pooling organizations and captives
  • Negotiating various service agreements to facilitate start-up and ongoing operations within insurance-related organizations 
  • Agency and producer licensing, acquisitions/sales and franchising
  • Mergers, acquisitions and sales of insurance companies, including Form A approvals and exemptions
  • Technology transactions and data privacy
  • Regulatory compliance, filings and working closely with Departments of Insurance across the country
  • Insurance holding company analysis and reporting (including negotiating ultimate controlling persons, disclosures, disclaimers/waivers and confidentiality)
  • Negotiation of administrative and technology services contracts 
  • Corporate governance
  • Insolvency issues
  • Securities transactions, including public company compliance and going private transactions
  • Investment advisory contracts, FINRA compliance and transactions
  • Broker/dealer compliance and defense of FINRA enforcement actions and investigations
