Mary Bannister is a trusted advisor to companies entering into complex business transactions. She provides strategic legal advice to companies and their ownership regarding acquisitions, divestitures, financings and strategic alliances. Mary has more than 25 years of experience negotiating a wide range of transactions, especially in the manufacturing and service industries, and centers her representation on the specific objectives of her client.

Mary has assisted clients in achieving the following business objectives:

  • Expanding their business through strategic acquisitions 
  • Divesting business segments that no longer fit within their business plans
  • Restructuring their existing business organizations for liability protection and to better reflect the processes of their businesses
  • Implementing exit strategies for ownership through management buyouts as well as equity divestitures and asset sales to third parties
  • Structuring joint ventures with other companies
  • Negotiating terms of financing from financial institutions, outside investors and existing owners
  • Represented a leading North American manufacturer of snow and ice control solutions for heavy-duty trucks in its sale to a public company for an aggregate purchase price of $95 million.
  • Represented ownership of a leading North American contract packaging company in the sale of its equity for an aggregate purchase price of $65 million.
  • Represented a public company in the aerospace industry in the acquisition of a sub-assembly manufacturing company for an aggregate purchase price in excess of $230 million.
  • Represented ownership of a privately held construction company in connection with the sale of stock in an ESOP transaction for purchase price in excess of $6 million.
  • Represented the purchaser of a privately owned truck refrigeration sales and distribution company for an aggregate purchase price of $10 million.
  • Represented ownership of a privately held metal trading company in a company sale for a purchase price of $50 million.
