Morgan Fiander represents and provides valuable legal counsel to clients in the financial services industry, including banks, private equity firms, hedge funds, investment and securitized trusts, loan servicers, and other traditional and non-traditional lenders. Morgan also represents financial services clients in matters arising out of consumer protection laws, and advises additional clients in matters related to financial services, real estate, and general business disputes.

Morgan advises lenders involved in distressed real estate loans, in direct and mezzanine lending transactions, and including lenders in participated, co-lending and syndicated loan transactions. These entities rely on Morgan to enforce their rights and protect their interests across a variety of situations. In particular, Morgan has experience in foreclosing on collateral through judicial and non-judicial procedures, obtaining and working through receivership appointments, litigating debt and security instruments, negotiating and securing favorable settlements including forbearance agreements, workouts, payoffs, and sales, and defending lender liability and related claims. Morgan also advises creditors in pursuing their claims in proceedings under the Bankruptcy Code, particularly in Chapter 11 proceedings. 

Morgan is experienced in handling all aspects of litigation in state and federal court from inception to trial, as well as appeals. She represents clients of all sizes, ranging from local companies and small businesses, to national and multinational corporations.  

  • Secured a judgment on behalf of a registered commodities trader acting as a counterparty and margin lender, against an eligible contract participant, based on breach of contract and account stated.
  • Won a motion to dismiss a complaint for lack of personal jurisdiction in a breach of contract suit on behalf of a national toy company.
  • Advised a luxury goods retailer in an involuntary bankruptcy proceeding and assisted in negotiating a settlement and dismissal of the proceeding.
  • Won a motion to dismiss with prejudice claims for piercing the corporate veil and alter ego on behalf of a group of small businesses.
  • Assisted in negotiating and closing sale of a distressed loan to avoid costs of enforcement through litigation. 
  • Negotiated on behalf of a national bank in an interpleader action for the return of fraudulently transferred funds. 
  • Secured payment of a claim on behalf of a property owner in a Chapter 11 proceeding filed by a national restaurant chain.
  • Successfully defended against a borrower’s motion to vacate final judgment on behalf of commercial hard money lender, permitting client to move forward with foreclosure of collateral.
