Michael Gillette brings a common sense and practical approach to closing complex commercial transactions, and draws upon his background in corporate finance to identify opportunities, anticipate challenges and execute creative solutions.  Michael’s practice primarily centers on the representation of emerging and established companies, investors, and entrepreneurs across a number of industries, including healthcare and technology, and his clients rely on him for advice and counsel on a range of general corporate and transaction specific matters, including:
  • Mergers and acquisitions, divestitures and reorganizations
  • Complex strategic alliances and joint ventures
  • Private placements and capital raises
  • Drafting and negotiating key commercial agreements
  • Represented a credit fund in connection with complex and non-traditional credit facilities to commercial borrowers, all of which involved complicated equity-based incentives and kickers. 
  • Represented an investor group with the acquisition of a portfolio of multi-family properties in multiple states, as well as the subsequent syndication of interests relative thereto. 
  • Represented a group home operator in connection with an investigation and settlement with regulators. 
  • Represented behavioral health care providers in connection with the organization and divestiture of assets and operations in neighboring states. 
  • Represented a behavioral health care provider in connection with the spin-off of a psychiatric facility. 
  • Represented multiple group operators in connection with the transfer of assets and operations to a national buyer. 
  • Represented the founders of a fund focused on the acquisition of income producing internet properties in connection with the offering and sale of Class A Units. 
  • Represented the founders of a fund focused on the acquisition of income producing residential condominiums in urban markets in connection with the offering and sale of Class A Units. 
  • Represented a mobile application developer in connection with a Series A capital raise.
