Matthew (Matt) Kasl is dedicated to assisting clients in all facets of the business life cycle and focuses his practice on business transactions and investment matters with representations involving mergers and acquisitions transactions, joint ventures, private equity and venture capital transactions, entity formation, entrepreneurial startups, and general corporate and commercial contracting. 

Matt also works closely with financial institutions, including depository and non-depository lenders, money service businesses, third-party payment processors, and blockchain and financial technology companies, on a broad range of complex legal issues related to the BSA and AML regulations promulgated by the FinCEN, in addition to prudential regulations implemented by the OCC, the Fed, and the FDIC. This includes helping clients confront complex and often unsettled regulatory matters, create and implement compliance programs, as well as interpret and apply applicable regulations.

Prior to Matt’s legal career, he served as Captain in the United States Marine Corps. 

  • Represented selling shareholders in the sale of minority equity interest in an insurance premium finance company to a private equity fund and related company reorganization.
  • Represented Swiss venture capital entities in their investment in convertible promissory notes of U.S. secret computing company.
  • Advised cryptocurrency and token issuers on U.S. market entry, including assessments of regulatory hazards at both the Federal and State level. 
  • Advised clients on the implementation and use of installment contracts in light of CFPB scrutiny.
