Preston represents private and public companies in complex business transactions to ensure their business, financial, and strategic goals are achieved.

Preston also serves as outside general counsel for many  clients ranging from start-ups to mature companies. He provides strategic advice throughout the entire “life cycle” of the client’s business, including entity formation, negotiating terms with management, acquiring and licensing intellectual property assets, negotiating and structuring capital-raising transactions, and exist transactions (stock sales, asset sales, mergers). Preston also assists companies with their ongoing legal needs such as vendor and customer agreements. For example, while representing a public utility  company, Preston negotiated 80+ agreements including Master Service Agreements, Software License Agreements, and Software as a Service (SAAS) Agreements.

Preston received his JD and MBA degrees from the University of Missouri-Kansas City. He graduated law school cum laude with an emphasis in business and entrepreneurship law. Preston earned two CALI Excellence for the Future Awards (highest grade in the class) while in law school on the subjects of Securities Regulation and Taxation of Business Organizations.

Preston was named a Rising Star by Missouri & Kansas Super Lawyers for Business/Corporate in 2019 (a distinction only 2.5% of attorneys in Missouri and Kansas receive).

  • Represented private equity group in $2,000,000 acquisition of 5% of mobile hardware security company. Assisted in due diligence and drafting of initial closing documents.
  • Represented mobile app company in $1,300,000 asset sale to international sports team management app development company.
  • Represented graphic design company in asset sale to international marketing company for earn-out payments.
  • Represented public utility company in negotiating 80+ agreements including Master Service Agreements, Software License Agreements, and Software as a Service (SAAS) Agreements.
  • Represented retail and technology company in private placement of $5,500,000 of equity securities.
  • Represented borrower in $29,200,000 refinancing of real estate, equipment, and line of credit financing.
  • Significant experience in representing clients with respect to business formation and general corporate matters.
  • Significant experience in representing clients with respect to a variety of employment matters including offer letters, employment agreements, non-compete agreements, confidentiality agreements, and proprietary rights agreements.
  • Represented clients on numerous multi-million dollar real estate transactions throughout the country.
