Paul Klug’s practice primarily focuses on general corporate law, mergers and acquisitions and corporate finance, securities and private equity. He has experience in the related areas and represents clients in the diverse industries listed next to this summary.

  • Represented leading privately held Managed Service Provider in its acquisition and combination of two complimentary businesses enhancing its scale and strengthening its position in the fast-growing Managed Service Provider (MSP) and Managed Security Service Provider (MSSP) marketplaces.
  • Represented service provider on the forefront of patient-centered healthcare transformation in the area of anesthesia care with corporate restructuring to position the company for rapid expansion and growth.
  • Represented anesthesia provider with corporate governance and organization restructuring including shareholder, board and physician employee structuring and agreements.
  • Represented seller of a family owned business in the construction industry in the stock sale transaction to a strategic buyer.
  • Represented sellers of an LLC with resolving and settling disputes related to earn-out and working capital calculations and related litigation.
  • Two transactions involving the purchase of specialty software related technologies representing the private equity buyer and related capital raise.
  • Representation of North American division of public company involving U.S. corporate transactions as part of multinational corporate and tax restructuring.
  • Represented 100+ year old family owned business in the food and agricultural industry in an extensive restructuring involving stockholder redemption transactions and implementing holding company structure.
  • Represented key managers in $160M sale to NASDAQ buyer in ATM industry.
