Philip McDermott strives to provide sponsors and investors in alternative assets with the highest level of legal service. Drawing on his experience at a large international law firm as well as almost a decade spent in-house at publicly-traded, multi-strategy asset management firm, Philip regularly advises clients on a range of capital formation activities. His experience includes the formation and operation of investment funds in a range of strategies and asset classes, including private equity, real estate, performing and stressed credit, venture capital and hedge funds. Philip also draws on his breadth of experience to advise investors in these products and to bring his insight to bear on their behalf. Additionally, he represents both capital parties and operators in joint venture transactions.  

Philip’s in-house experience also encompassed a range of transactional matters, including the issuance of listed and unlisted securities, financing matters, mergers and acquisitions, and the formation and structuring of derivative products. His background allows him to see the world from a client’s perspective, and to provide thoughtful, cost-effective solutions.

Philip also regularly counsels sponsors and investors on regulatory matters in connection with their investing and fund-raising activities, including with respect to the Securities Act, the Exchange Act, the Investment Advisers Act, the Investment Company Act, the Commodity Exchange Act, and related regulations.

 
  • Advise numerous fund sponsors in the formation and operation of investment funds and accounts, including private equity funds, performing and stressed credit funds, real estate funds, venture capital funds and hedge funds.
  • Counsel fund sponsors in connection with the establishment of investment advisors, commodity pool operators and commodity trading advisers, as well as related regulatory advice.
  • Routinely advise institutional and other investors in their investments in alternative assets, including all phases of diligence and the drafting and negotiation of side letter agreements, as well as in connection with ongoing co-investments.
  • Represent capital parties in real estate joint venture transactions across a number of asset classes and transaction structures.
  • Represented a publicly listed global asset management firm in securities transactions, financing, mergers, acquisitions, and strategic investments, including the take-private acquisition of the company by affiliates of another publicly listed asset management company.
  • Negotiated and structured derivatives transactions on behalf of a global asset management firm and certain of its advised funds, including drafting transaction documentation and ongoing monitoring of regulatory developments.
