Steven Bierly has experience with a variety of corporate matters ranging from representing public and private companies in mergers and acquisitions, including transactions involving the transfer of foreign legal entities and post-closing restructuring projects, to representing issuers and investment banks in public and private securities offerings and advising companies on corporate governance matters, securities laws, and other general corporate matters.

Prior to joining Polsinelli in 2013, Steven’s practice involved spending six months in Singapore, where he gained experience working on securities offerings in international markets. Steven was a certified public accountant prior to attending law school and worked for two years as an auditor with Deloitte & Touche LLP. The clients he served at Deloitte included two Fortune 500 companies and numerous private companies and government clients.

While in law school, Steven was a member of the 2006-2007 Northwestern School of Law Negotiation Team, and his two-person team finished first place in its regional competition and competed at the ABA-sponsored national finals.

Mergers and Acquisitions

  • Coordinated foreign share transfers for global private equity firm in its $4.9 billion purchase of a business unit of a multinational company.
  • Represented a private equity portfolio client in the sale of its automotive business unit to a private equity buyer.
  • Assisted a United States medical device company in the $680 million sale of the company to a foreign buyer.
  • Represented a public company client in its $16.5 million acquisition of the assets of a leading provider of Web chat and customer communications software.
  • Represented a public company client in its $20 million acquisition of a public company that manufactured fluid processors via merger agreement and cash tender offer.




Corporate Finance and Securities

  • Represented a public company issuer in registered public offering of $350 million of Senior Notes.
  • Represented a public company issuer in a registered public offering of $300 million Senior Notes.
  • Represented the initial purchasers in a $600 million note offering under Rule 144A of the Securities Act of 1933.
